The Rules and Constitution of Banbury Star Cyclists’ Club
Name of the Club
The club shall be called the Banbury Star Cyclists’ Club, hereafter ‘the Club’.
Colours of the Club
The Club’s colours shall be primarily royal blue (Pantone 281), yellow (Pantone 108) and white.
Purposes of the Club
The purposes of the Club are to promote the amateur sport of cycling in Banbury and the surrounding areas.
Permitted means of advancing the purposes
The Committee has the power to:
– Acquire and provide equipment, coaching, training and playing facilities, transport, medical and related facilities.
– Provide coaching, training and related social and other facilities.
– Take out required insurance for the Club, officials and third parties.
– Raise funds by appeals, subscriptions, loans and charges.
– Open bank accounts.
– Make grants and loans and give guarantees and provide other benefits.
– Set aside or apply funds for special purposes or as reserves.
– Deposit or invest funds in any lawful manner.
– Co-operate with or affiliate to firstly any bodies regulating or organising the Sport and secondly any club or body involved with it and thirdly with government and related agencies
– Do all other things reasonably necessary to advance the purposes.
None of the above powers may be used other than to advance the purposes consistently with the Rules below and the general law.
The Cub shall be affiliated to British Cycling (BC), Cycling Time Trials (CTT) and Milton Keynes Cycling Association.
Any change or addition to affiliated organisations shall be proposed and voted upon at the Annual General Meeting.
Membership of the Club shall be open to anyone interested in the sport regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs.
The Club offers different levels of membership and subscription on a non-discriminatory and fair basis and will keep subscriptions at levels that will not pose a significant obstacle to people participating.
First Claim Senior: any person who is over 18 years of age. Standard senior members become first claim to the Club for all race events.
Second Claim Senior: any person who is over 18 years of age and become second claim to the Club. This option is only available to riders who race and can demonstrate first claim membership to another bona fide, affiliated cycling club.
First Claim Student: any person who has passed their 16th birthday but not their 18th. Standard student members become first claim to the Club for all race events.
Second Claim Student: any person who has passed their 16th birthday but not their 18th and become second claim to the Club. This option is only available to riders who race and can demonstrate first claim membership to another bona fide, affiliated cycling club.
Senior Citizen: any person who has passed their 65th birthday.
Juvenile: any person who has not passed their 16th birthday.
Honorary Life: the Committee can convey Honorary Life Membership to any person who it is deemed has made a significant contribution to the Club.
Time Trial upgrade: any member can, at the point of joining/rejoining chose to pay a supplement that upgrades their membership package to cover the otherwise chargeable fees to participate in the Club’s weekly time trial events.
Joining the Club entitles members to participate in club rides and events, purchase club kit and receive a discount at Broadribb Cycles.
It is a condition of membership that members assist with the running of the club’s weekly time trial series, e.g. pushing-off, marshalling, time-keeping.
First claim members are eligible to compete for Club trophies and records. Second claim members are not eligible for Club trophies and cannot take part in voting at Club meetings.
New members are entitled to a £20 credit towards their first purchase of club kit.
The Club’s Committee may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the Club or sport into disrepute. Appeal against refusal or removal may be made to an appointed panel consisting of club members. In the event of membership removal, no membership subscription fees shall be refunded.
Annual membership subscriptions shall be agreed at the AGM.
The subscriptions of members joining after 1st September shall cover them until 31st December of the following year.
Officers of the Club
The Permanent Officers of the Club shall be elected each year at the Annual General Meeting and are as follows:
Permanent Officers must be first claim members of the Club. The President is to act as non-voting chair of the meetings, but is to have a casting vote in the event of any tie.
Ex-officio Members will be elected at the Annual General Meeting and are as follows:
The Club’s Committee shall be formed from the Permanent Officers and ex-officio Members.
Subject to these Rules, the Committee shall have responsibility for the
management of the Club, its funds, property and affairs for adopting new policy, codes of conduct and rules that affect the organisation of the club.
The property and funds of the Club cannot be used for the direct or indirect private benefit of members other than as reasonably allowed by the Rules.
The Club may provide sporting and related social facilities, sporting equipment, coaching, courses, insurance cover, medical treatment, event expenses, post event refreshments and other ordinary benefits of Community Amateur Sports Clubs as provided for in the Finance Act 2002.
The Club may also in connection with the sports purposes of the Club:
– Sell and supply food, drink and related sports clothing and equipment.
– Employ members (although not on a full time or professional basis) and remunerate them for providing goods and services, on fair terms set by the Committee without the person concerned being present.
– Pay for reasonable hospitality for visiting teams and guests.
– Indemnify the Committee and members acting properly in the course of the running of the Club against any liability incurred in the proper running of the Club (but only to the extent of its assets).
The Committee will have due regard to the law on disability discrimination and child protection.
The Committee shall consist of at least three and not more than ten members (including Officers).
The Committee members may co-opt club members (up to the maximum permitted number) to serve until the end of the next AGM.
Any Committee member may be re-elected or re-co-opted without limit.
A Committee member ceases to be such if he or she ceases to be a member of the Club, resigns by written notice, or is removed by the Committee for good cause after the Member concerned has been given the chance of putting his/her case to the Committee with an appeal to the Club members, or is removed by club members at a general meeting. The Committee shall fairly decide time limits and formalities for these steps.
The Committee shall meet at least once in between each Club General and Annual General meeting.
Whenever a Committee member has a personal interest in a matter to be discussed, he/she must declare it, withdraw from that part of the meeting (unless asked to stay), not be counted in the quorum for that agenda item and withdraw during the vote and have no vote on the matter concerned.
The Committee may decide its own way of operating. Unless it otherwise resolves the following rules apply:
– At least 2 members must be present for the meeting to be valid.
– Committee meetings shall be held face to face.
– The Chair, or whoever else those present choose shall chair meetings.
– Decisions shall be by simple majority of those voting.
– A resolution in writing signed by every Committee member shall be
valid without a meeting.
– The chair of the meeting shall not have a casting vote.
– Minutes of Committee meetings shall be taken and archived on the website.
The Committee may delegate any of their functions to sub-committees but must specify the scope of its activity and powers; the extent to which it can commit the funds of the Club; its membership; its duty to report back to the Committee. The Committee may wind up any sub-committee at any time or to change its mandate and operating terms.
Annual club reports and statements of account must be made available for inspection by any member and all club records may be inspected by any Committee member.
All club monies will be banked in an account held in the name of the club.
The Club Treasurer will be responsible for the finances of the club.
The financial year of the club will end on 31st December.
Any cheques drawn against club funds should hold the signatures of the Treasurer plus up to two other Permanent Officers.
Before expenditure is incurred, the follow agreements are required to be recorded:
£0-50: Treasurer plus one other Committee member.
£50-200 Treasurer plus two other Committee members.
£200+ Treasurer plus three other Committee members.
All General Meetings
General meetings shall be held quarterly, typically January, April, July and October.
All members, regardless of claim status, may attend all general meetings of the Club in person.
General meetings need 21 clear day’s written notice to members.
The quorum for all general meetings shall be ten percent of the total voting membership.
The Chair or (in his or her absence) another member chosen at the meeting shall preside.
Minutes of all meetings shall be taken and archived on the website.
Except as otherwise provided in these Rules, every resolution shall be decided by a simple majority of the votes cast on a show of hands.
Formalities in connection with General Meetings (such as how to put down resolutions) shall be decided by the Committee and publicised to Club members.
Annual General Meeting
The Club will hold an AGM once in every calendar year (typically January) and not more than 15 months after the last AGM.
The Members will elect a Committee consisting of Permanent Officers and ex-officio Members to serve until the next AGM.
The Treasurer will produce independently-audited accounts of the Club for the latest financial year.
The Committee will present a report on the Club’s activities since the previous AGM.
The Members will discuss and vote on any resolution (whether about policy or to change the Rules) and deal with any other business put to the meeting.
Extraordinary General Meeting
An EGM shall be called by the Club Secretary within 14 days of a request to that effect from the Committee or on the written request of not less than ten percent of the voting members and signed by them. Such an EGM shall be held on not less than 14 or more than 21 days’ notice at a place decided upon by the Committee or in default by the Chair.
This trophy was presented in 1938 by Mr H N Peake for the fastest rider in the club’s open 25 mile time trial.
The oldest cup in the club’s possession. Presented by the then President, Col. Edmunds in 1913 and for many years awarded to the winner of a 22 mile handicap road race. In 1939 the donor consented to have the race changed to a 30 mile time trial (handicap section).
This cup was presented to the club in 1926 by Mr F W Manners for the handicap winner in a 25 mile time trial.
Presented in 1938 by Mr F L Durran. It is awarded to the winner of the club Hill Climb at Burton Dassett.
Presented in 1939 by Mr H S Lester, then Mayor of Banbury. It is awarded to the handicap winner of a 50 mile time trial.
Presented by Ald. B Allsopp in 1939 for annual competition amongst the ladies of the club. Since 1969 it was awarded to the leader in the club runs competition. From 2010 it’s awarded to the lady rider with the best average speed over 10, 25 and 50 miles.
Presented in 1938 by Ald. J Friswell and is awarded for the fastest time for the Warwick and Back ride. For 2016 onwards, this event uses the K4/25W course which was introduced because of road alterations at Gaydon.
This cup was won by members when it was presented in 1938 by the Mayor of Coventry to the club with the most members at a cyclists’ rally at Stratford-on-Avon. It is now awarded for the club Time Trial Handicap Series for the best 6 performances on handicap. In order to be eligible, riders (apart from new members in their first season) would have to help Marshal, Push Off or Time Keep at a minimum of one event during the year.
Russell Memorial Bowl
This cup was subscribed for in 1943 by club members in memory of Jim Russell, then Racing Secretary, who was killed at work in December 1942. It is awarded to the fastest rider in the Russell Memorial 25.
Thomas Best all-rounder Cup
This was presented to the club in 1947 by Dudley Thomas and is awarded to the fastest rider over 25, 50 and 100 miles. From 2010 is is awarded to the fastest male rider over 10, 25 and 50 miles.
Mary Cheney Cup
Presented to the club in 1949 by Mrs M Cheney, then Mayor of Banbury, for the fastest rider in the Club 100. Now awarded for the fastest time in any 100 mile time trial. From 2010, it is awarded to the fastest lady over 100 miles.
Presented in 1949 by Mr G R Lomas for the rider with the best average speed over 10, 25 and 50 miles. From 2010 it is awarded to the fastest rider over 100 miles.
Presented in 1969 by Mr S Powell, a member of the club at the beginning of the century and is awarded for the junior best all-rounder.
Cavalcade Race Cup
Presented by Mr W Knight on behalf of Banbury Cavalcade Road of Sport to the winner of the Senior Open Road Race.
Presented in 1978 by Mick Furn and awarded to the most successful rider in road races during the season.
Bolland “Rising Star” Trophy
Presented in 1983 by Mr and Mrs J Bolland for the rider under 21 years of age gaining most points awarded for all club activities.
Presented in 1987 by Trinder Bros. Banbury, for the winner of the club Freewheel contest.
Thomas Veterans Cup
Presented on 1989 by Mrs Vi Thomas and awarded to the best veteran on Standard over 10, 25 and 50 miles calculated in accordance with the National Veterans B.A.R.
Simon Smith Memorial Cup
Presented in 1989 by Mr and Mrs Smith in memory of their son, Simon, and is awarded to the fastest rider over 10 miles in any event.
Presented in 1993 by Mr J Broughton and is awarded to the winner of the Hardriders Open Time Trial
This trophy was commissioned by President Nicky Xandora in 2012, designed and made by Jered Allcock, to celebrate outstanding contribution to the club.
Rights and responsibilities
The Club organises cycling events which by their nature carry an inherent risk and members take part in such events in full acknowledgement of such risk and also their responsibilities towards other riders in terms of behaviour and etiquette.
By participating on a club ride, you agree to the terms and conditions defined on the Club’s website.
The Club strongly recommends members hold third party insurance cover, e.g. as a member of British Cycling, Cycling UK or another comparable service provider.
Discipline and appeals
All complaints regarding the behaviour of members should be submitted in writing to the Club Welfare Officer.
The Committee will meet to hear complaints within 14 days of a complaint being lodged. The committee has the power to take appropriate disciplinary action including the termination of membership.
The outcome of a disciplinary hearing should be notified in writing to the person who lodged the complaint and the member against whom the complaint was made within 14 days of the hearing.
There will be the right of appeal to the Committee following disciplinary action being announced. The committee should consider the appeal within 14 days of the Club Welfare Officer receiving the appeal.
Amendments to the Rules and Constitution
The Rules and Constitution shall only be amended by a majority vote at either a Quarterly Meeting, AGM or EGM at which the non-voting President has the casting vote. Any motions for amendment must appear on the Agenda for the meeting in order that all members be notified of a possible change of rule.
Dissolution of the club
A resolution to dissolve the club can only be passed at an AGM or EGM through a majority vote of the membership.
The members may vote to wind up the Club if not less than three quarters
of those present and voting support that proposal at a properly convened general meeting.

– To another Club with similar sports purposes which is a charity and/or
– To another Club with similar sports purposes which is a registered CASC and/or
